Terms of Service

These Terms of Service (“Terms”) govern access to and use of the OSO (“Service”). The Service is provided by the company W4 Labs Inc., a Delaware corporation with registered office at 8 THE GREEN, STE R. Dover, Delaware State, 19901, USA (”W4 Labs”, “we”, “us”, or “our”). By using the Service, the user agrees to be bound by these Terms, Privacy Policy, and any applicable laws and regulations. The user should take time to read them carefully. If the user does not agree to these Terms, he/she may not use the Service. The W4 Labs reserves the right to amend these Terms at any time. Continued use of the Service by the user constitutes acceptance of any amended Terms.

1. Service

1.1. The Service is a software-as-a-service solution provided by W4 Labs enabling the user to access and use its features including AI powered features through an interface service or, if provided, through the Service API. Key features of the Service are listed by the official Service website.
1.2. The interface service might be either proprietary software provided by W4 Labs in any available form (including web or mobile apps) or a third-party service that the Service is integrated with. List of available interface services is available through the Service official website. If the interface service is provided by a third-party, additional terms and conditions may apply and the user is solely responsible for maintaining access to the interface service which might require paying additional fees for using the third-party interface service.
1.3. The range of features accessible to the user may vary contingent on the chosen subscription plan, geographical location of the user, or other specific conditions. The utilization of certain features may necessitate the use of plug-ins.
1.4. Access to the Service may be subject to limits based on quantitative or other criteria or based on fair use policies. If the limits are reached, access to the Service or its features may be restricted or disabled without prior notice.
1.5. W4 Labs reserves the right to modify the Service in any manner, inclusive of the addition, alteration, or discontinuation of any features. Furthermore, W4 Labs reserves the right to augment, revise, or terminate support for any of the interface services, which includes changes to, expansion of, or discontinuation of the Service API.

2. Eligibility and Registration

2.1. To use the Service, the user may be required to register for an account. When registering, the user agrees to provide accurate, current, and complete information about himself/herself. The user is responsible for maintaining the confidentiality of the user’s account credentials and for all activities that occur under user’s account. The user agrees to immediately notify W4 Labs of any unauthorized use of the user’s account or any other breach of security.
2.2. To use the Service, the user has to meet the following eligibility requirements:

The user must be at least sixteen (16) years of age or older. If the user is between sixteen (16) and eighteen (18) years of age, he/she must have the permission and consent of a parent or legal guardian to use the Service. The parent or legal guardian will be responsible for the user's compliance with these Terms, as well as any liability arising from the user's use of the Service.
2.2.2.
The user agrees not to impersonate any person or entity, or misrepresent his/her affiliation with any person or entity while using the Service.
2.2.3.
The user must not access or use the Service for any purpose that is illegal or prohibited by these Terms or any applicable laws or regulations. The user must comply with all applicable laws, regulations, and restrictions in his/her jurisdiction when using the Service.
2.3. Failure to meet these eligibility requirements or to comply with these Terms may result in termination of the user's access to the Service, at the sole discretion of the W4 Labs.
2.4. The user may incur charges from his/her telecommunication service provider for using internet data to access the Service. Such charges are the sole responsibility of the user, and the W4 Labs is not responsible for any costs associated with the user's use of internet data or any other service in connection with his/her telecommunication service.

3. Fees, Paid Plans, and Trial Period

3.1. Access to and use of the Service may require payment of fees and subscription to a paid plan. The user shall pay the applicable fees for the selected paid plan on a monthly basis, in accordance with the W4 Labs' Fee Policy published on the Website.
3.2. The subscription is offered in different plans, each providing different levels of access to features or different limits on the use of the Service. The subscription plans are described on the official website of the Service. The user is solely responsible for selecting the subscription plan that is appropriate for the intended use of the Service.
3.3. By subscribing to a paid plan of the Service, the user expressly authorizes the W4 Labs to charge the applicable recurring fees to the user's provided credit card or other payment method. The user is responsible for maintaining a valid and up-to-date credit card or other payment method information with the W4 Labs to ensure uninterrupted access to the Service.
3.4. User's subscription to the Service shall be for the period paid for by the user and shall be automatically renewed at the end of that period for the same period, unless the subscription is terminated by either party. The user or W4 Labs may terminate the subscription at any time in accordance with the procedures set out in these Terms. Each renewal of the subscription will be subject to the subscription fees in effect at the time of renewal.
3.5. The W4 Labs may offer a trial period during which the user can access and use the Service free of charge with limitations, as specified by the W4 Labs. The user's eligibility for the trial period is subject to the W4 Labs' sole discretion, and the W4 Labs reserves the right to revoke the user's eligibility for the trial period at any time and for any reason.
3.6. W4 Labs may offer free or discounted subscription plans that include the serving of advertisements to the user through the Services. By subscribing to these subscription plans, the user agrees to be served the advertisements and gives consent to W4 Labs to serve the advertisements through the relevant interface service the user is using, which may include the use of the user's telephone number, email address or other electronic contact information.
3.7. User shall be solely and fully responsible for all taxes and fees of any nature associated with their payment activities, including any taxes related to the purchase or use of the Service. The user is obligated to collect, report, and remit the correct amounts to the appropriate authorities, if applicable.

4. User Conduct

4.1. User agrees to use the Service responsibly and in compliance with these Terms, as well as any applicable laws, regulations, and the terms and conditions of the third-party services.
4.2. User shall not use the Service:
4.2.1.
to engage in any unlawful, abusive, harassing, threatening, defamatory, vulgar, obscene, or otherwise objectionable behavior. This includes, but is not limited to, using the Service to send, receive, or otherwise facilitate any material that is illegal, offensive, harmful, unethical or violates the rights of others.
4.2.2.
to generate or distribute any content that promotes discrimination, hatred, or violence against any individual or group based on race, ethnicity, religion, gender, age, sexual orientation, disability, or any other protected characteristic under applicable laws and regulations.
4.2.3.
for any fraudulent, deceptive, or malicious purposes, including but not limited to phishing, identity theft, or other activities that may compromise the security or privacy of others.
4.2.4.
access, tamper with, or use non-public areas of the Service, or interfere with, disrupt, or damage the Service, its servers, or the networks connected to it, including but not limited to introducing viruses, malware, or other harmful code.
4.2.5.
for any activities that directly compete with or undermine the business interests of the W4 Labs. This includes, but is not
limited to, developing, promoting, or offering similar or competing services, products, or solutions that could negatively impact the W4 Labs or Service or its market position.

5. API Access and Usage

5.1. W4 Labs may offer application programming interface (API) that provides additional ways to access and use the Service. Such API shall be considered part of the Service and its use shall be subject to these Terms. W4 Labs reserves the right, at its sole discretion, to modify or discontinue access to the API without prior notice. The User is solely responsible for ensuring that any use of the API is compatible with the current version of the API.
5.2. W4 Labs may, at its sole discretion, set and enforce limits on the use of the API based on various criteria, including quantitative criteria such as number of API calls, computational difficulty, data size, etc. If the set limits are reached, access to the API may be restricted or disabled without prior notice.
5.3. Except as expressly authorized under these Terms the user may not:
5.3.1. modify, copy, redistribute, transfer or sublicense the API to a third party or allow third party to use the API in any way,
5.3.2. interfere with, disable or bypass any features included in the API,
5.3.3. use the API for any monitoring, benchmarking or other competitive purpose,5.3.4. use any craping, data harvesting or data extraction methods to extract data from the API,
5.3.5. disassemble, decompile, or reverse engineer the API or permit third party to do so unless as expressly allowed by law.
5.4. User is solely responsible for compliance with all applicable local, state, national and international laws and regulations in its use of the API, including, but not limited to, all privacy laws and regulations.

6. Using Plug-ins and Plug-in Store

6.1. Plug-ins are a piece of software that interacts with the Service through the API.
6.2. W4 Labs may provide access to the Plug-in Store, a catalogue of plug-ins that allows users to browse, search, view, install, set up, license or subscribe to plug-ins. Access to the Plug-in Store may be subject to restrictions or limitations (including rate limitations, API usage limitations etc.), based on user’s subscription plan, user geographic location or other criteria. W4 Labs reserves the right to modify, suspend or terminate access to the Plug-in Store and plug-ins (including installed plug-ins) at any time at its sole discretion.
6.3. W4 Labs may provide access to its own plug-ins or to plug-ins developed by third parties. Third party plug-ins and W4 Labs’ plug-ins will be clearly identified in the Plug-in Store. W4 Labs plug-ins are considered part of the Service and their use is subject to these Terms. Third party plug-ins are developed and offered by third parties and W4 Labs merely facilitates access to such plug-ins through the Plug-in Store. Third party developers are solely responsible for all aspects of the published third-party plug-ins including features, compatibility, quality, interoperability, data access and processing, security, availability and support.
6.4. Installation and use of a third-party plug-in requires user to enter into a direct relationship with the third party that has published the plug-in in the Plug-in Store and is subject to the contractual terms of such a third party. Third parties who publish plug-ins on the Plug-in Store are required to provide their own terms of service, license terms, privacy policies and support policies which are available for review in the Plug-in Store. By installing the plug-in from the Plug-in Store, you agree to be bound by such third-party contractual terms. Users are encouraged to read through the contractual terms carefully to consider their choice of plug-ins. W4 Labs does not provide any legal assistance in reviewing the third-party contractual terms and does not review, verify or evaluate third-party contractual terms in any way and does not guarantee that such contractual terms are fair, legal or valid.
6.5. By installing a third-party plug-in from the Plug-in Store, the user authorizes the W4 Labs to transfer any user data to the third party that published the plug-in. Data transfers may be subject to additional terms and conditions set forth in the Privacy Policy. W4 Labs is not responsible for any data transferred to third parties in accordance with these Terms or for any transmission, collection, processing, archiving, handling, security, disclosure, modification, use or deletion of such data. W4 Labs may provide settings to manage plug-ins’ access to user data. If such settings are available, the user is encouraged to review the settings carefully.
6.6. W4 Labs provides support solely for plug-ins developed, published and provided by W4 Labs and the support is subject to these Terms. Support for third party plug-ins is provided solely by the third party that published the plugin in the Plug-in Store and is subject to terms set forth in the third-party contractual terms. Third party publishers are required to provide their contact information, which is available through the Plug-in Store. W4 Labs does not verify the contact information provided. W4 Labs does not facilitate any communication, service desk services or other means of contacting the responsible third party.
6.7. Plug-ins developed, published and made available by W4 Labs may be subject to additional fees paid in addition to the subscription fees as indicated in the Plug-in Store. Use of third-party plug-ins may be subject to additional fees charged by the third party that published the plug-in and are subject to the third party’s contractual terms. W4 Labs may facilitate the payment for the use of third-party plug-in through its payment service provider. In this case the user authorizes W4 Labs to charge the user for the third-party plug-in using the payment method provided by the user to W4 Labs.
6.8. Plug-ins may provide connection to other services provided by third parties which may be subject to third party contractual terms and additional fees. The user is solely responsible for complying with such third-party contractual terms and for payment of any applicable fees. W4 Labs makes no claim or guarantee of compatibility and interoperability with any particular third-party service unless expressly stated otherwise.
6.9. User acknowledges that the plug-ins may interfere with each other and that some combinations of plug-ins may cause interruptions in the provision of the Service, loss of data or other degradation in the quality of the Service. W4 Labs is not responsible for any degradation in the quality of the Service or interruptions in the Service caused by third party plug-ins.
6.10. User acknowledges that the use of plug-ins may increase the computational requirements and the use of the API which may result in increased fees if the fee is based on usage or other quantitative criteria or it may result in reaching the limits of use of the Service or the API which may lead to the interruption of the provision of the Service or the limitation of certain features.

7. Developer Terms

7.1. W4 Labs may provide the user with the ability to develop their own plug-ins that interact with the Service through the API to enhance the functionality, features and interoperability of the Service. If the user develops any plug-ins, the terms set out in this section of the Terms shall apply. W4 Labs reserves the right to modify, suspend or terminate the ability to develop plug-ins for the Service at its sole discretion.
7.2. User may use the plug-ins they develop for their own personal purposes or they may choose to make the plug-ins available to other users through the Plug-in Store. The plug-ins may be made available free of charge or for a fee.
7.3. User who makes plug-ins available through the Plug-in Store authorizes W4 Labs to distribute and make the plug-in available to the public. For this purpose, the user grants to the W4 Labs a non-exclusive, limited, worldwide, royalty-free license to reproduce, perform, display and use the plug-in for the purposes of its distribution and promotion through the Plug-in Store and to exercise all rights under these Terms.
7.4. If the user chooses to make the plug-in available through the Plug-in Store, the user must provide W4 Labs with working production-ready plug-in compatible with the Service in a form specified in the documentation, a description of the plug-in, their identification information a contact information, contractual terms of the plug-in including license terms, privacy policy, terms of use and support policy, and authorize W4 Labs to publish such information. The user is further required to maintain a functional means of contact.
7.5. User who makes a plug-in available through the Plug-in Store acknowledges that they will enter into agreements directly with the end users under the contractual terms provided to the W4 Labs. The user undertakes to properly inform the end users about the contractual terms and about the processing of personal data.
7.6. User who provides any plug-ins to other users through the Plug-in Store undertakes to maintain such plug-ins in full working order (including patching the plug-in to maintain compatibility with the development of the Service) at least for the period that the plug-in is available to users and undertakes to provide proper support for the end users.
7.7. User who has made a plug-in available through the Plug-in Store undertakes to pay a royalty to the W4 Labs in the amount specified in the current royalty schedule, which will be made available to the user via the Plug-in Store dashboard. The royalty may be derived from any gross revenue generated by the user in any connection with the plug-in, including but not limited to fees for installation and use of the plug-in, subscription fees, licensing fees, affiliate revenue, advertisement revenue etc., in any form including cash or virtual assets. If the user chooses to use the W4 Labs payment provider as a means of payment, the user authorizes W4 Labs to deduct the royalty from each payment processed in this way. If the user uses other methods to collect revenue in connection with the plug-in, the user undertakes to disclose and declare the revenue to W4 Labs and to pay the royalty on a monthly basis no later than on the 7th day of the following calendar month using the payment methods made available through the Plug-in Store dashboard. The user undertakes to provide W4 Labs with detailed information on the revenue made in connection with the plug-in, including any documents, invoices, billing information etc., at the request of W4 Labs no later than 7 days after the request.
7.8. User who has made any plug-in available through the Plug-in Store is solely responsible for any data the plug-in transfers from the Service or any data the plug-in accesses, reads, copies, collects and processes in any other way. Accessing and processing of certain data including personal data may be subject to legal obligations including obligation to inform data subjects about processing, acquiring proper legal title for the processing, securing the availability, integrity and confidentiality of the data or to safeguard the rights of the data subjects and the user acknowledges such obligations and undertakes to fully comply with such obligations at their own costs and responsibility.
7.9. User who makes any plug-in available through the Plug-in Store represents and warrants that they have all necessary rights to distribute and make the plug-in available including complying and maintaining any third-party agreements, patent rights, copyright, trademarks and other rights.
7.11. Inclusion and availability of the plug-in in the Plug-in Store is within W4 Labs sole discretion. W4 Labs reserves the right to suspend, disable or remove any plug-in from the Plug-in Store or suspend, modify or block access of any plug-in to the Service at any time for any reason and without prior notice or liability. The main reasons for such action include, but are not limited to, any breach is these Terms, failure to provide adequate support for the plug-in, incompatibility of the plug-in, insufficient, incomplete or illegal contractual terms or privacy policy, misleading description of the plug-in or other communication, failure to maintain functional contact, infringement of third-party rights, non-compliance of the plug-in with applicable law, legal obligations or negative user feedback.
7.12. W4 Labs reserves the right to but is not obligated to conduct a security and functional review of any plug-in and the user who makes the plug-in available is obligated to provide any assistance to W4 Labs or a designated third party upon such request including providing the W4 Labs with source code, test access or any information.
7.13. If the user has made any plug-in available through the Plug-in Store, the user may request in writing that the plug-in be removed from the Plug-in Store upon 30 days’ notice. W4 Labs reserves the right following such a request to set a commercially reasonable phase-out period to notify the end users of the plug-in and to allow the end users a reasonable time to find alternative solutions.
7.14. The user who makes plug-ins available through the Plug-in Store is solely responsible for compliance with export controls and economic sanctions under applicable law in relation to their plug-in.

8. AI Terms

8.1. W4 Labs may provide the user with access to features that are powered by large data models trained by machine learning (referred to in these Terms as “AI”). Such features are experimental and the technology is constantly undergoing rapid development which may affect the usability, availability, quality and consistency of such features.
8.2. User acknowledges that the AI powered features that enable content generation operate on the basis of providing output based on the user’s input, however the output may be different each time the same input is provided. The user further acknowledges that the output may not be unique and that the same output may be generated for third parties. The output may resemble, match or include parts of the training data.
8.3. User acknowledges that the output may be inaccurate, incomplete, inconsistent or wholly fabricated. The user is solely responsible for verifying of the output. The user is advised to thoroughly verify and double check the output before acting upon it or passing it on to others.
8.4. W4 Labs may use specifically provided user feedback (e.g., thumbs up button) to improve the data models. W4 Labs will not use the input and output to improve the data models without the consent of the user.
8.5. User is prohibited from:
8.5.1. using the Service to develop or improve AI models, data models, foundation or large-scale models or similar technologies,
8.5.2. using output of any other AI model, data model, foundation or large-scale model as an input for the Service or vice versa using the output of the Service as an input for any other model,
8.5.3. misleading others that the output of the Service is human generated,
8.5.4. generate spam, disinformation and other illegal content.

9. Third-Party Services

9.1. The Service utilizes third-party services, including AI chatbots, large language models, and messaging and communication apps, and other services. The user is responsible for reviewing and understanding the terms and policies of the Third-Party Services before using the Service. Continued use of the Service constitutes the user's acceptance of and compliance with the terms and conditions of these Third-Party Services.
9.2. The W4 LABS may offer integrations or interoperability of the Service with Third-Party Services to enhance its functionality. By enabling any such integration, the user is granting W4 LABS and the Third-Party Service provider the necessary permissions to access, share, and process his/her data as required for the integration to function. The user acknowledges that W4 LABS has no control over, and assumes no responsibility for, the content, privacy practices, or performance of any Third-Party Service provider.
9.3. The user agrees not to violate, circumvent, or interfere with the security or operation of the Third-Party Services. The user also agrees not to engage in any activity that may result in suspension, termination, or restriction of his/her access to the Service and to the Third-Party Services.
9.4. The user acknowledges and agrees that the functionality and availability of the Service are dependent on the Third-Party Services. The Service provider has no control over the content, functionality, availability, or performance of these Third-Party Services, and as such, the Service may not work or may experience interruptions if the Third-Party Services are unavailable or experiencing issues.
9.5. In the event of unavailability or disruption of the Third-Party Services, the W4 LABS disclaims any liability arising from or related to the user's use of or interaction with these Third-Party Services, as well as any inability to access or use the Service due to such unavailability or disruption. The user agrees that the W4 LABS is not responsible for any damages, losses, or inconveniences that may occur as a result of the unavailability or disruption of the Third-Party Services.

10. Service Availability and Maintenance

10.1. W4 LABS’s team strive to provide the Service on a continuous basis; however, we do not guarantee that the Service will be available or uninterrupted at all times. Access to the Service may be temporarily suspended, restricted, or affected due to planned or unplanned maintenance, system upgrades, repairs, or other factors beyond W4 LABS’s control, such as technical malfunctions, internet connectivity issues, or force majeure events.
10.2. The user acknowledges and agrees that W4 LABS shall not be liable for any damages, losses, or inconveniences experienced by the user or any third party resulting from the unavailability, suspension, or interruption of the Service, whether planned or unplanned, and regardless of the cause.
10.3. The user acknowledges and agrees that in the event of unavailability or disruption of the Service, the W4 LABS shall not provide a refund, except in cases where the Service is unavailable for a significant portion of the charged period. If the unavailability of the Service exceeds 50% of the charged period, the user may be eligible for a prorated refund, calculated based on the duration of the unavailability.

11. License

11.1. Subject to the user's compliance with these Terms, the W4 LABS hereby grants the user a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service including the API fairly for personal purposes and for plug-in development in accordance with these Terms for the duration of the agreement. The fair usage means using the Service in a reasonable manner, refraining from excessive or unreasonable use of the Service that could negatively impact its performance, availability, or functionality for other users (e.g., submitting an unusually high volume of requests in a short period of time or repeatedly requesting resource-intensive tasks).
11.2. The user is expressly prohibited from reselling the Service or providing access to the Service to any third party for commercial purposes. The user is also forbidden from aggregating, consolidating, or otherwise combining questions or requests from individuals other than the user himself/herself when using the Service.

11.4. The user shall not reproduce, copy, distribute, publicly display, or create derivative works of the Service, without the prior written consent of the W4 LABS or the applicable rights holder.
11.5. The user shall not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Service or any part thereof, except as permitted by applicable laws.

12. Protection of Personal Data

12.1. The collection, use, storage, and disclosure of the user's personal data in connection with the Service will be governed by the W4 LABS's Privacy Policy, which is incorporated herein by reference: https://oso.ai/privacy-policy
12.2. The user understands that the Service may involve the transmission of his/her personal data to or through Third-Party Services. The user acknowledges that the privacy and data protection practices of these Third-Party Services may differ from those of the W4 LABS and agrees to review the terms and privacy policies of the Third-Party Services.

13. W4 LABS Website

13.1. The user acknowledges and agrees that his/her access to and use of the W4 LABS Service website (“Website”) is subject to these Terms, as well as any additional rules, guidelines, and policies that may be posted on the Website or communicated to the user from time to time.
13.2. The W4 LABS grants the user a limited, non-exclusive, non-transferable, and revocable license to access and use the Website for personal, non-commercial purposes, in accordance with these Terms.
13.3. The user agrees not to use the Website in any manner that is unlawful, harmful, harassing, defamatory, offensive, or otherwise objectionable, or that infringes on the rights of the W4 LABS or any third party. The user is prohibited from engaging in any activity that interferes with, disrupts, or compromises the security or proper functioning of the Website, including but not limited to hacking, circumventing access controls, or transmitting malicious software.
13.4. W4 LABS aims to use artificial intelligence to promote a free interchange of free speech and ideas to the fullest extent permitted by law. To promote that end, W4 LABS offers Uncensored Search and Chat Services to select paid subscribers. W4 LABS does not moderate the viewpoints or content generated by its Uncensored Search and Chat Services, except as may be required by law, or as necessary for W4 LABS to comply with its own commercial obligations. This means that some users may opine some of the content generated by our Uncensored Services to be offensive, inaccurate, or harmful. If you are under the age of 18 or under the age of majority in the jurisdiction in which you reside or from which you are accessing the Website, you may not use our Uncensored Search and Chat Services. Otherwise, by accessing our Uncensored Search and Chat Services, you are certifying and warranting to W4 LABS that
(a) you are at least 18 years of age or otherwise the age of majority under the laws of your state, province or country; and
(b) you understand that some of the Content generated by the Uncensored Services may include Content that some people deem to be offensive, inaccurate, or harmful;
(c) that you are familiar with materials of this kind;
(d) that you are not offended by such content;
(e) that you accessing the Uncensored Services and the resulting content intentionally;
(f) that you are expressly waiving any claim you might assert as a consequence of your having accessed our Uncensored Services; and
(g) that you will not download, copy or distribute any content generated by our Uncensored Services for any unlawful purpose.

14. Response to DMCA Requests

14.1. W4 Labs takes copyright infringement seriously and will respond to the DMCA requests in accordance with the law. As a result of action taken on the basis of DMCA requests the W4 Labs may suspend, modify or remove any user generated content made available through the Service or Plug-in Store including user’s plug-ins. The user will be notified of any such action.
14.2. If the user is affected by an action taken on the basis of DMCA requests and believe that the action was taken by mistake or misidentification, the user may file a written counter request in accordance with the DMCA Policy. W4 Labs will review the counter request and if the filing party will not file a court action W4 Labs may restore the content.

15. Limitation of Liability

15.1. The W4 LABS is not responsible for any information made available through the Service and does not warrant that such information is accurate, correct and current. The information provided through the Service should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more current sources of information.
15.2. The user acknowledges and agrees that the Service is provided "as is" and "as available," without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. W4 LABS does not warrant that the Service will be error-free, uninterrupted, secure, or available at all times, or that the results obtained from the use of the Service will be accurate, reliable, or meet the user's expectations.
15.3. To the maximum extent permitted by applicable law, the W4 LABS, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, resulting from the user's access to or use of the Service, or inability to access or use the Service, even if the W4 LABS has been advised of the possibility of such damages.
15.4. W4 LABS's total liability to the user, whether based on warranty, contract, tort (including negligence), or any other legal theory, shall not exceed the amount paid by the user for accessing the Service during the six (6) months immediately preceding the date of the claim.
15.5. W4 Labs shall not be liable for any damages arising from the use of third party plug-ins.
15.6. In addition to the foregoing, the W4 Labs shall not be liable for any damages arising in connection with the use of the Service to interact with DLT technology, virtual assets or cryptocurrencies, and in particular in connection with any transactions, use of encryption keys, connection to such technologies or other interaction. If the User uses the Service for these purposes, the User is solely responsible for such use and must always verify any output of the Service.

16. Indemnification

16.1. The user agrees to indemnify and hold harmless the W4 LABS, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to the user's use of the Service, user developed plug-ins, violation of these Terms, or violation of any rights of a third party, including but not limited to intellectual property rights, rights of privacy, or rights of publicity.

17. Termination of Service

17.1. The W4 LABS reserves the right, at its sole discretion, to suspend or terminate the user's access to the Service, or any part thereof, at any time and for any reason, including but not limited to the user's breach of these Terms, violation of applicable laws, or misuse of the Service.
17.2. The user may terminate his/her use of the Service at any time by ceasing to access the Service and, if applicable, by cancelling his/her account or subscription through the appropriate account management interface.
17.3. Termination of the user's access to the Service shall not relieve the user of any obligations arising prior to the termination, or affect any rights, remedies, or liabilities accrued under these Terms. The user's obligations and the W4 LABS's rights and remedies under these Terms shall survive the termination of the user's access to the Service, to the extent permitted by applicable law.
17.4. The user shall not be entitled to any refund or credit, and the user's payment obligations shall remain unaffected in the event of termination due to:
17.4.1. user's breach of these Terms or misuse of the Service;
17.4.2. user's decision to cancel his/her account or subscription, and/or ceasing to access the Service. However, in the case of termination based on W4 LABS’s decision without the user's breach, the user shall receive a proportionate refund of any prepaid fees or charges relating to the unused portion of the Service.

18. Governing Law and Dispute Resolution

18.1. These Terms are governed and interpreted in accordance with the laws of Delaware.
18.2. Any disputes arising out of or in connection with these Terms of Service will be subject to the exclusive jurisdiction of the courts of the Delaware.
18.3. The user and the W4 LABS agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The user and the W4 LABS expressly waive any right to participate in a class action, consolidated action, or representative action, or to join or consolidate claims with any other party, including any other user of the Service, in any dispute resolution proceeding.

19. Amendments

19.1. The W4 LABS reserves the right, at its sole discretion, to modify, amend, or update these Terms and at any time and for any reason. The W4 LABS will notify the user of any material changes to the Terms by posting the updated Terms on the Website or through other appropriate communication channels. The user is encouraged to review these Terms periodically to stay informed of any changes.
19.2. The user's continued use of the Service following the posting of the updated Terms constitutes the user's acceptance of and agreement to be bound by the modified Terms. If the user does not agree with the updated Terms, he/she must discontinue his/her use of the Service.

20. Severability and Waiver

20.1. If any provision of these Terms is found to be invalid, illegal, or unenforceable under any applicable law or regulation, such invalidity, illegality, or unenforceability shall not affect the enforceability of the remaining provisions of these Terms. The remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to render it valid, legal, and enforceable, while preserving the original intent of the parties to the maximum extent possible.
20.2. No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy.

21. Assignment and Transfer

21.1. The user may not assign, delegate, or transfer his/her rights, obligations, or account under these Terms, in whole or in part, without the prior written consent of the W4 LABS. Any unauthorized assignment or transfer shall be null and void.
21.2. W4 LABS may assign, delegate, or transfer its rights and obligations under these Terms, in whole or in part, to any third party, including but not limited to an affiliate, successor, or assignee, without the user’s consent and without prior notice to the user. In the event of such an assignment or transfer, the assignee or transferee shall assume all rights and obligations under these Terms, and W4 LABS shall be released from any and all liabilities, obligations, and duties under these Terms.
21.3. Subject to any restrictions on assignment or transfer set forth in these Terms, these Terms shall be binding upon and inure to the benefit of the parties hereto and his/her respective successors, permitted assigns, heirs, and legal representatives.

22. Entire Agreement and Relationship

While providing the Service for third-party integration we generally do not handle end user issues directly, but end user issues may be forwarded to us for resolution or our staff may otherwise assist in resolving end user issues.

22.1. These Terms, together with any other agreements, policies, or guidelines referenced herein, constitute the entire agreement between the user and the W4 LABS concerning the use of the Service and supersede all prior or contemporaneous communications, understandings, or agreements, whether written or oral, relating to the subject matter hereof.
22.2. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or any other relationship between the user and the W4 LABS. Neither party has the authority to bind the other or incur obligations on the other's behalf.
22.3. The Service allows the user to connect to third-party services either natively or through plug-ins. The use of these third party services is subject to separate contractual agreements with the providers of these third party services. Nothing in these Terms shall be construed as W4 Labs providing such third party services and the W4 Labs shall not be responsible for the quality or availability of such third party services. In the case of connections to DLT, virtual asset or cryptocurrency technology related services, there is no provision by the W4 Labs of any services related to these technologies, including the holding of virtual assets or cryptocurrencies or the provision of transaction services. In no event shall it be implied that the W4 Labs provides any services in the nature of payment, banking, investment services or services of a virtual asset service provider.
